01 Definitions
The following terms carry the meanings assigned below wherever they appear in this Agreement:
- "Agreement" means these Terms & Conditions together with any Scope of Work document signed between the parties.
- "Service" means the operational advisory engagement(s) described in the applicable Scope of Work, including process mapping, metrics framework design, and diagnostic sprint services.
- "Client" / "you" means the company, organisation, or individual that has commissioned a Service from Quorvex Advisory.
- "We / Us / Quorvex" means Quorvex Advisory Co., Ltd., registered in Thailand, with its principal place of business at 88/4 Wireless Road, Lumphini, Pathum Wan, Bangkok 10330.
- "Deliverable" means any written document, map, report, framework, or other output produced by us in the course of providing a Service.
- "Scope of Work" means the written document agreed by both parties before fieldwork commences, specifying the scope, timeline, fee, and deliverables of a given engagement.
- "Confidential Information" means any non-public information disclosed by either party in connection with a Service.
02 Acceptance of Terms
By signing a Scope of Work, submitting an enquiry, or commissioning any Service from Quorvex Advisory, you confirm that you have read, understood, and agree to be bound by this Agreement.
You confirm that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent.
If you do not agree to these terms, do not commission any Service.
03 Service Description
Quorvex Advisory provides operational excellence advisory services to manufacturing, logistics, and service-operations organisations, primarily within Thailand. Our three engagement formats are:
- End-to-End Process Mapping — documentation and analysis of one core operational process.
- Performance Metrics Framework — design or refinement of operational performance indicators.
- Operations Diagnostic Sprint — a two-week on-site diagnostic of an organisation's operational structure.
Services are available to clients based in Thailand and to international clients operating facilities in Thailand. Availability is subject to advisor capacity and will be confirmed in writing before any Scope of Work is issued.
04 User Responsibilities
To enable us to deliver the Service effectively, the Client agrees to:
- Provide accurate, complete, and timely information requested by the advisory team during the engagement.
- Make relevant staff — including operators, supervisors, and managers — available for interviews and observation sessions within the agreed timeline.
- Grant reasonable access to operational areas, data, and documentation required for the Scope of Work.
- Designate a primary point of contact responsible for coordinating the engagement on the Client's side.
- Notify us promptly of any material change to operational circumstances that may affect the engagement scope.
The Client must not use Deliverables in a manner that misrepresents their content, scope, or conclusions — including for regulatory submissions or public claims not expressly supported by the Deliverable.
05 Intellectual Property
All advisory frameworks, methodologies, templates, and tools developed by Quorvex Advisory prior to or independently of any engagement remain the exclusive property of Quorvex Advisory Co., Ltd.
Upon full payment of the applicable engagement fee, the Client is granted a non-exclusive, non-transferable licence to use the Deliverables internally for their own operational purposes. This licence does not permit:
- Resale, sublicensing, or redistribution of Deliverables to third parties.
- Use of Deliverables as the basis for advisory services offered to others.
- Removal or obscuring of Quorvex Advisory attribution from any Deliverable.
Content provided by the Client — including internal data, documentation, and process information — remains the property of the Client. We acquire no ownership over Client-provided materials.
06 Payment Terms
Engagement fees are as stated in the applicable Scope of Work and are denominated in Thai Baht (฿). Current standard fees are:
- End-to-End Process Mapping: ฿14,800 per engagement
- Performance Metrics Framework: ฿8,400 per engagement
- Operations Diagnostic Sprint: ฿28,600 per engagement
Unless otherwise stated in the Scope of Work, payment is due in two instalments: 50% upon signing the Scope of Work and 50% upon delivery of the final Deliverable. Payment is accepted by bank transfer to the account details provided in the invoice.
Invoices are issued in Thai Baht. The Client is responsible for any bank charges or currency conversion costs. Late payments beyond 14 days of the invoice due date may result in suspension of the engagement until the outstanding amount is cleared.
Fees are fixed for the agreed scope. Any expansion of scope requested by the Client will be subject to a new written agreement and a revised fee. Quorvex Advisory will not perform out-of-scope work without a written amendment.
Cancellations: If the Client cancels a signed engagement before fieldwork begins, the 50% deposit is non-refundable. If fieldwork has commenced, the Client is liable for the full engagement fee.
07 Service-Specific Terms
Scope and changes: The scope of each engagement is fixed in the Scope of Work before fieldwork begins. Neither party may unilaterally extend or reduce scope during the engagement. Requested changes must be agreed in writing.
Timeline: Timelines stated in the Scope of Work are indicative and may be affected by the Client's availability to provide access and information. We will notify the Client as early as practicable of any anticipated delay.
Deliverable review: The Client has 10 business days from the date of delivery to raise factual corrections to a Deliverable. Corrections are limited to verifiable factual errors, not changes in advisory judgement or scope.
Site access: For on-site engagements, the Client is responsible for ensuring that the advisory team is provided with safe and adequate working conditions, including access to relevant areas, meeting space, and necessary safety briefings.
08 Confidentiality
Both parties agree to keep the other's Confidential Information strictly confidential and to use it only for the purposes of the engagement. Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party.
This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party before disclosure; (c) is required to be disclosed by applicable law or court order, provided the receiving party gives the disclosing party reasonable prior notice.
The confidentiality obligation survives the termination of this Agreement for a period of three years.
09 Disclaimers
Services are provided on the basis of the information available to the advisory team during the engagement. We do not warrant that Deliverables are free from error or that implementing any recommendation will produce a specific operational outcome.
Advisory Deliverables represent professional observations and analysis. They do not constitute legal, financial, regulatory, or technical engineering advice. Clients should seek appropriate specialist advice before implementing any change with regulatory, safety, or financial implications.
We make no representation that the methodologies applied are the only valid approach to the operational questions examined.
10 Limitation of Liability
To the maximum extent permitted by Thai law, our total liability to the Client arising from or in connection with a Service shall not exceed the total fee paid by the Client for the specific engagement giving rise to the claim.
We shall not be liable for any indirect, consequential, incidental, or special loss or damage, including but not limited to: loss of profit, loss of revenue, loss of data, loss of business opportunity, or damage to reputation, whether foreseeable or not.
Force majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, government action, industrial disputes, or public health emergencies.
11 Indemnification
The Client agrees to indemnify and hold harmless Quorvex Advisory Co., Ltd. and its personnel from and against any claims, damages, costs, and liabilities arising from:
- The Client's use of Deliverables in a manner not authorised by this Agreement.
- Misrepresentation of the findings or conclusions contained in a Deliverable to third parties.
- Any breach by the Client of their obligations under this Agreement.
- Any claim by a third party resulting from the Client's implementation of advisory recommendations.
12 Termination
Either party may terminate an engagement by written notice if the other party materially breaches this Agreement and fails to remedy that breach within 14 days of receiving written notice of the breach.
We may suspend or terminate an engagement if the Client fails to provide the access, information, or cooperation necessary to proceed, after 7 days' written notice.
Upon termination: (a) the Client shall pay for all work completed to the date of termination; (b) each party shall return or destroy the other's Confidential Information on request; (c) provisions of this Agreement that are by their nature intended to survive termination — including confidentiality, intellectual property, limitation of liability, and dispute resolution — shall continue in effect.
13 Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the Kingdom of Thailand.
In the event of a dispute, the parties agree first to attempt resolution through good-faith written negotiation within 30 days of the dispute arising. Either party may initiate this process by sending a written notice describing the nature and substance of the dispute.
If negotiation does not resolve the dispute within 30 days, either party may refer the matter to mediation administered by the Thai Arbitration Institute or a mutually agreed mediator. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Bangkok, Thailand.
14 General Provisions
Entire Agreement: This Agreement, together with the applicable Scope of Work, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior discussions, representations, and understandings.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Failure to enforce any provision of this Agreement does not constitute a waiver of the right to enforce it in the future.
Assignment: The Client may not assign its rights or obligations under this Agreement without our prior written consent. We may assign this Agreement to any successor entity in connection with a corporate restructuring or acquisition.
Notices: Formal notices under this Agreement must be provided in writing by email (with delivery confirmation) or by registered post to the contact details recorded in the applicable Scope of Work.
15 Changes to Terms
We may update these Terms & Conditions from time to time. When material changes are made, the revised document will be published on our website with an updated "Last Updated" date.
Changes take effect 14 days after publication. Your continued engagement of our Services after that date constitutes acceptance of the revised terms. For engagements already in progress under a signed Scope of Work, the terms in force at the time of signing apply for the duration of that engagement.
